Requires JD or LLM, or foreign equivalent, & admission to the CA state bar. Requires 5 years experience as an Associate or related w/ a law firm focusing on M&A transactions. Experience must include: Supporting deal execution by drafting, reviewing, & negotiating key transaction documents, stock & asset purchase agreements, merger agreements, LOIs, term sheets, & disclosure schedules; Coordinating due diligence reviews & preparing diligence reports; Advising on US & international M&A transactions in energy, infrastructure, and heavy industries sectors; Managing closing checklists & handling deal closings; Performing due diligence activities including reviewing target company contracts, corporate documents, litigation, IP, compliance issues, & identifying & advising on legal risks to clients; Communicating w/ private equity sponsors, strategic buyers, portfolio companies, & management teams to coordinate corporate transactions; Advising clients on deal structures, risk allocation, & negotiation strategies; Supporting M&A transactions by coordinating w/ internal teams (including tax, antitrust, finance, employment) across multiple jurisdictions.
