Requires JD or LLM, or foreign equity, and admission to the State Bar of CA. Requirements minimum 5 years of experience as an Associate within the Corporate, M&A, or PE practice group of an international law firm advising on corporate transactions & PE matters. Experience must include: Providing legal due diligence & support to PE firms, funds, & portfolio companies in sophisticated corporate transactions including leveraged buyouts, public & private M&A, divestitures, carve-outs, joint ventures, growth investments & strategic investments in the software, home services, energy, media & entertainment, real estate, & healthcare industries; Drafting corporate documents including merger agreements, asset transfer agreements, share purchase agreements, disclosure letters, limited guarantees, equity commitment letters, capital contribution agreements & governing documents including stockholder agreements, operating agreements & partnership agreements; Reviewing corporate legal documents to evaluate & analyze the legal risk of proposed transactions; Supporting due diligence review processes for domestic & international M&A transactions; & Coordinating with opposing counsel & other advisors including accountants, consultants, & brokers in complex M&A, strategic investments, & private equity transactions.
