A vibration-damping controlling apparatus (1) of a vehicle (10) for suppressing vibration including a component in a pitch direction or in a bounce direction occurring in the vehicle (10) by an input from a road surface to wheels (12FL, 12FR, 12RL and 12RR) of the vehicle (10) by controlling driving force of the vehicle (10) is provided with a setting means (3) that sets a vibration-damping control compensation amount by feedback control based on a wheel speed of the wheels (12FL, 12FR, 12RL and 12RR) of the vehicle (10) and a driving force controlling means (2) that controls driving force of a power source for travel (22) of the vehicle (10) so as to suppress amplitude of the vibration based on the vibration-damping control compensation amount and changes the vibration-damping control compensation amount based on a state of the vehicle (10), so that the vibration-damping controlling apparatus (1) of the vehicle (10) can execute appropriate vibration-damping control corresponding to the state of the vehicle (10).
